Latvia investment regulations: features and process of opening a company
Starting a fund in Latvia includes several steps. For residents of Latvia, the procedure is simpler, and for residents of Lithuania, Estonia and other European countries, it is possible to use an electronic signature and easily come to Riga to sign documents. If you intend to establish an investment fund in Latvia, you will need to go through several steps listed below.
Collection of necessary information and documents. Registration of companies in Latvia is carried out by the Register of Enterprises of Latvia, which accepts documents only in the Latvian language. Therefore, you will likely need the help of a law firm or company that specializes in company registration and accounting.
Signing documents at the notary. Signatures on parts of the registration documents must be certified by a sworn notary. You can sign documents in person in Latvia or at a notary in other countries, then send certified documents by mail to have the certification translated into Latvian.
Choosing the legal form of the company. There are several legal forms for registering a business in Latvia. Often the most suitable form will be a limited liability company (SIA).
Obtaining the consent of the owner of the legal address.
Opening an investment fund in Latvia also requires the availability and payment of initial capital.
Opening a temporary bank account.
Depositing the amount of authorized capital into the account.
To register investment fund Latvia with the Register of Enterprises, you must submit a certificate of payment of the authorized capital. The minimum amount of authorized capital for SIA is 2800 euros. The capital can be paid in full or in the amount of 50% before submitting documents, and the remaining amount within a year after registration. As an individual, you can open an SIA with a reduced authorized capital, which can be even 1 euro. In this case, there is no need to open a temporary bank account and credit the amount of fixed capital there. In some cases, it is necessary to register an SIA with full capital, for example, to obtain a residence permit in Latvia. Then you need to open a temporary account in one of the Latvian banks and deposit the amount of the authorized capital there. This can be done personally or by proxy through an employee. You should obtain a certificate from the bank confirming payment of the authorized capital.
In order to implement Latvia fund setup, it is necessary to submit the appropriate package of documents to the Register of Enterprises.
